This Declaration is made by the undersigned agency account holder (“Agency”) to CAASie Pty Ltd (“CAASie”) for the purpose of protecting the interests, intellectual property, and client relationships of media owners whose inventory is made available via the CAASie platform.

By using the platform Declaration, the Agency agrees as follows:

1. Non-Solicitation of Media Owner Clients

The Agency shall not knowingly, directly or indirectly:

  • Solicit, approach, or attempt to conduct business with any existing or past client of a media owner available on CAASie, where such client information has been obtained through the CAASie platform or related communications.
  • Use the CAASie platform, or any information obtained through it, to circumvent a media owner’s decision to refuse to work with the Agency in the past, whether due to commercial or compliance reasons.

2. Representation & Branding

The Agency shall not:

  • State, imply, or otherwise represent that it is an employee, agent, partner, or authorised representative of CAASie or any media owner available on the CAASie platform.
  • Use the names, logos, trade marks, or branding of CAASie or any media owner in any materials or communications, except where expressly permitted in writing by CAASie or the relevant media owner.

3. Use of Images and Media

The Agency shall not:

  • Use any images, photographs, mock-ups, or other creative assets obtained via the CAASie platform in any communications, advertising, or promotional materials outside of reports and proposals that are generated directly from the CAASie interface.
  • Modify, reproduce, or redistribute such images for purposes other than preparing campaign proposals or performance reports for the Agency’s own clients in connection with the CAASie platform.

4. Campaign Packaging and Promotion

The Agency shall not:

  • Promote, market, or sell individual locations, billboards, or other media assets as standalone offerings outside the normal expectations of a programmatic campaign.
  • Create or offer custom “packages” of specific sites or boards that could be perceived as a direct buy or fixed-location sale, unless expressly approved in writing by CAASie and the relevant media owner.
  • Present programmatic inventory in a way that undermines the flexibility, dynamic allocation, or variable delivery inherent to programmatic advertising.

5. Compliance with Standards & Laws

The Agency agrees to:

  • Adhere to all advertising standards, content guidelines, and legal requirements applicable to the media inventory accessed via CAASie.
  • Respect any media owner’s specific restrictions, brand safety requirements, or approval processes communicated via CAASie.

6. Remedies for Breach

The Agency acknowledges that any breach of this Declaration may result in:

  • Suspension or termination of the Agency’s CAASie account;
  • Revocation of access to specific media owner inventory;
